Terms and Conditions
These Terms and Conditions (“Terms & Conditions”) set forth the legally binding agreement for purchase of and registration by you, also referred to herein as the “Participant”, or “you”, in the Program (“Program”) for which certain services are provided by Wayfinding, Inc. (“Wayfinding”).
You have elected to enroll in the Program, as outlined in “Program Services”, and we have agreed to provide such services to you on the terms and conditions set out below. You are of the opinion that Wayfinding has the proper and necessary qualifications, experience and abilities to provide these services to you, and by registering for the Program with Wayfinding, you are signifying your acknowledgment, agreement, and assent to these Terms & Conditions.
1. Program Services. This is a self-paced Program. The Program includes 6-month access to documents and videos including instructional content videos, embodied practice videos, tools, self-assessments, frameworks, reflection prompts (collectively the “Materials”).
2. Program Fee. Participant agrees to pay the full non-refundable fee agreed upon at time of purchase and enrollment. Participant will not receive access to the Program until full payment is received.
3. Participant’s Use of the Program. Your Program purchase and enrollment grants you, and you alone, access to the Materials. You may not share your Program login credentials, nor any of the Materials with anyone. Any violation of this section will result in immediate Program termination, without refund, as well as Wayfinding pursuing any other legal remedies available.
4. Expectations and Guarantee. Wayfinding guarantees your complete satisfaction with the Program, and accordingly we offer a 30-day money-back guarantee, subject to the following conditions.
If you complete the entire Program within 30 days of purchase and are unsatisfied with the Program for any reason, we may refund all payments. Program completion means you have completed the entire assigned coursework, including, but not limited to, the following:
a. You watched every assigned video, completed all practice videos, and read all assigned reading in the learning portal;
b. You completed all exercises assigned to you, via online platform used in the Program.
If, after Program completion, you wish to request this money back guarantee, you must:
- Make a request for refund in writing within 30 days of Program purchase and enrollment;
- Agree to communicate with Wayfinding on a phone call to fully understand the nature of your request; and
- Demonstrate to Wayfinding’s reasonable satisfaction that you completed the Program. Whether Program completion occurs is to be determined at the sole discretion of Wayfinding.
If you complete all of these steps and still want your money back, we will be glad to honor our money-back guarantee. If you do not complete these steps, you are not entitled to a refund and are still responsible for the Program fee.
5. Confidentiality. During the Program, Wayfinding may provide you with access to sensitive information about Wayfinding’s businesses, Participants, methodologies, processes, data, know-how, and other sensitive information that is intended to be kept confidential, “Confidential Information.” You will operate in good faith and use common sense to keep such sensitive information confidential.
6. Ownership of Materials/Intellectual Property. Wayfinding’s Confidential Information and the Materials, including video, audio, and written content, shared with you by Wayfinding at any time during the Program or through providing the Program services, or at any other time, whether verbal or written physically or electronically, are the sole property of Wayfinding. Any unauthorized reproduction, use, or appropriation of any such Materials will be subject to applicable trademark, copyright, and intellectual property laws.
7. Media Waiver. You grant full permission to Wayfinding and its agents, contractors and employees an irrevocable and unrestricted right to use any feedback, testimonials or other information provided by you to Wayfinding during the Program for the purpose of publication, promotion, illustration, advertising, or trade, in any manner or in any medium. You hereby agree to release Wayfinding, and any of Wayfinding’s agents, contractors or subcontractors from all claims, damages and liabilities relating to any use of your information, including but not limited to claims of defamation, invasion of privacy, or rights of publicity or copyright infringement. You waive any right to royalties or other compensation arising from or related to the use of your information. You agree that you have read this clause fully and understand the contents, meaning and impact of this consent, waiver and release.
8. Independent Contractor. Wayfinding is acting as an independent contractor in providing the Services under these Terms and Conditions, not as an employee, and Participant’s participation in the Program does not create a joint venture or a partnership between Participant and Wayfinding.
9. Modification of Terms and Conditions. Wayfinding reserves the right to modify these Program Terms and Conditions from time to time at its discretion.
10. Notice. All notices or demands required or permitted by these Terms and Conditions will be given in writing and delivered to the parties. Notices to Wayfinding shall be sent to [email protected].
11. Integration. These Terms and Conditions contain the entire agreement and understanding by and between the Participant and Wayfinding and no representations, promises, agreements or understandings, written or oral, not herein contained shall be of any force or effect.
12. Choice of Law. These Terms and Conditions, the performance of these Terms and Conditions, and all suits and special proceedings under these Terms and Conditions, shall be construed in accordance with and governed by the laws of the State of California.
13. Severability. The provisions of these Terms and Conditions shall be deemed severable, and the invalidity or unenforceability of any one or more of the provisions hereof shall not affect the validity and enforceability of the other provisions hereof.
14. Wayfinding Termination Policy. Wayfinding may terminate your participation in the Program with or without cause. If Wayfinding terminates without cause, Wayfinding shall provide you with five (5) days written notice. Wayfinding may terminate for cause, without prior notice, if Participant breaches any portion of these Terms and Conditions, including but not limited to Participant’s non-payment or breach of the Confidentiality or Intellectual Property provisions herein.
15. Participant Termination Policy. Participant may terminate this agreement at any time. However, Participant shall only receive a refund of the Program if Participant adheres to the money-back guarantee terms described herein.
